Visual Studio fails to Load with .NET Runtime Optimization Service Error

After Installing Visual Studio 2005 the "splash screen" appears then VS
aborts with these two Application Event Log Errors:

.NET Runtime Optimization Service (clr_optimization_v2.0.50727_32) - Failed
to compile: C:\Program Files\Microsoft Visual Studio
8\VC\redist\amd64\Microsoft.VC80.CRT\msvcm80.dll . Error code = 0x80004005

.NET Runtime version 2.0.50727.832 - Fatal Execution Engine Error (7C812A5B)
(800703e9)

There is no explanation at the Microsoft support site.  What causes this?
Is there a 'fix'?

I had installed .NET 3.0 on this system (XP Pro. 5.1.2600), but uninstalled
it and re-installed .NET 2.0 with the Visual Studiio 2005 installation.
