Visual Studio 2005 Trial MDAC 2.81 Install Problem

I've been trying to install Visual Studio 2005 trial on my PC and it blows
up when trying to install MDAC 2.81 with an Access Denied message.  I've
searched using Google and Microsoft Knowledge Base and I haven't found
anything that helps me resolve the issue.

My PC at the time of install had

Windows 2000 sp4
SQLServer 2000
Visual Studio 2005 Express
MDAC 2.7
Net Framework 2.0 and lower

I removed SQLServer 2000 (because I wasn't currently using it), installed
MDAC 2.8 which ran without any problems, and removed Net Framework 2.0.

Still didn't work.  Also ran comcheck which didn't report any problems with
MDAC.

Anyone have any ideas of what I can do next?

One more note:  Tried insalling it under local administrator account and
without virus checking software running.  No difference.
