Install Failure for VS.NET 2003 under WinXP Pro (SP2)

I have installed VS.NET 2003 on other computers, including Windows XP Pro
(SP1). Recently my old development computer died so I purchased a new
computer. It came with Windows XP Pro (SP2). I can not get VS.NET 2003 to
install on this computer. It goes through the process, then reports a
failure. The error file and log file it offers are blank.

Only I notice is that the KEY automatically entered is different than the
one displayed on my MSDN introduction screen.

Any Thoughts??
