Let's start with some details.
At what stage did the install fail?
What is the complete text of the error message?
What OS and Service Pack level are you running?
Any beta software installed?
Check the failed install for a directory named "Logs". In it, you should
find a file named setup.log. Search through setup.log for the word "error",
then send that line and approximately 20 lines before and after where you
find "error". The details may allow someone here to suggest a solution.

This error has been seen before...I believe you can correct by:

1.  Extract the file mscoree.dll from netfx.cab in the i386 directory of
your original OS installation media or network path.
2.  Copy mscoree.dll to %windir%\system32.
3.  Rerun your vs setup.

Hopefully this will correct your problem.

Please try renaming your current %windir%\system32\Mscoree.dll...and then
restarting setup.
