some people call it a huge Service Pack with lots of improvements in the
details and some major ones:
C++ standard compliance is much better
C++ forms editor
improved WebService reference wizard
Framework 1.1 support
I like the alphabetical sorting in the solution explorer better than the
random of 2002
And the upgrade price of $29 when you upgrade soon is another good reason to
keep your system up to date. Who knows how the upgrade conditions for the
next studio are which is expected end of 2004. Maybe you need 2003 to get a
cheap 2004.

I might be biased, but I think the upgrade is a no brainer in this case:
o cheap at $29
o much better C++ conformance
o improved optimizations especially when targetting Pentium4
o more polished IDE
o tons of bug fixes

You forgot:
o newly introduced bugs
... but I agree with you anyway! VS2003 is generally a useful no
brainer (for want of a better term) upgrade decision given the low
cost.
