I got the similar problem with 2003 server.
However we find way to work around it, try to use msiexec to see the
exact error.
Our problem is one of the file called _isConfig.xml was missing. So we
extracted it from the msi and placed it in the directory that the
installer is looking for it which is c:\ (instead of install dir)
We are currently working with Microsoft guys to identify the problem.
The latest news that I got from them is they think it's probably a bug
from InstallSheild that they use to pack WSE 2.0's msi.

One of the option is to download Orca from here
http://support.microsoft.com/default.aspx?scid=kb;EN-US;255905
Once you are able to open msi database, you can export file.

Typically this indicates a bad setup package. Try to re-download the setup
