error 1935 installing framework

Was wondering if someone whould know whats going on I have installed Windows
XP about month or so ago and have been having few problems which I have been
working through (autorun on cd not autorunning, not detecting ISA modem
can't install at all) but my major problem at this time is the dot Net
Framework. I had this running on XP at first and when I did a repair install
to try to fix the Modem problem I noticed that my Visual Studio dot net not
working. I uninstalled everything dot net and tried to reinstall again and
can't get by the framework insall. I have completed all the updates to XP
including framework sp2.
error message is error 1935
assembly component{C147CF16-9804-4A0E-B763-414A39AF6A8F} HRESULT -2140248893
I have no idea what that means but it is almost completely through the
install and seems to have something to do with registration?
I have tried it several times and comes to the same conclusion each time.
There was no problem with this install with windows 98. Tried installs
framework redistributable 1.1 from Microsoft and the using the Academic
version of framework included in Sept 2002 disk.
I installed MSDC2.8 same thing
Any ideas???
Dead in the water and need a codiing fix!!!!

Please rename %windir%\system32\mscoree.dll to mscoree.dll.old and retry
the installation.

Thanks Huy
I tried your suggestiion and dosen't seem to make a difference the install
program generated this log
Does it shed any more light as to what is going on??
I appreciate your time and comments tks Again

I'm considering the final solution and shocked that I would even think of
such a thing. (Anything for a coding fix)

I have a similiar problem when installing .net-framework and I need some
