Legal to redistribute "certmgr.exe" and "makecert.exe"?

I'm trying to find a Microsoft alternative to the OpenSSL tools and I'm
wondering if it's legal to redistribute these executables:  

C:\Program Files\Microsoft Visual Studio .NET 2003\SDK\v1.1\Bin\certmgr.exe
C:\Program Files\Microsoft Visual Studio .NET 2003\SDK\v1.1\Bin\makecert.exe

(Part of my application generates self-signed test certs; we currently use
OpenSSL to generate them and some custom code to drop them into the Microsoft
Cert Store.)

It is not legal to redistribute these files without an expressed, written
license from Microsoft.

How might one go about getting an expressed, written license from Microsoft?

You might try to VSIP program or partner marketing.
