If I remember, the prerequisites are:
- .NET Framework 1.1
- Visual J# Redistributable
- Internet Explorer 6.0 SP1 (or 6.01, I don't remember)
- IIS
All prerequisites can be downloaded and installed separately. Try to install
them and then run the Visual Studio setup again.

P.S.: IIS is installed from your Win2003/WinXP Pro install disk, and is not
part of the installation. Just like the SQL Servers, you'll install it first
before you install .NET, or you'll have to manually re-enable the
functionality. (IIS is not required if you're not going to create web
applications)

I have not tried this, but you can try downloading and installing the .NET

I have Lost .Net Prerequisites CD.
If there anyway that I can download the CD.
I have my VS.Net Install disk, but I can't find the .Net Prerequisites
CD.

No. it's just something different.
The SDK is development tool only, it won't even install the runtime for you.
So you can see in the download page "You must install the .NET Framework
Redistributable Package version 1.1 prior to installing the Microsoft .NET
Framework SDK version 1.1".
