Are you using a form of Soruce Control system like ClearCase maybe?
Clearcase had a background process to monitor it's protected files to
make sure they're protected and stay that way.

i did find that if i REstarted VS it went away.
strange behavior.. oh well.. it appears to be working.. would prefer a long
term solution though

If the error went away when you restarted visual studio, it probably
had something to do with something else trying to access the location
you wanted to write your file too.
